## End User License Agreement (EULA) ## 1. Introduction This End User License Agreement ("EULA") is a legal agreement between you ("End User") and GEM365 Inc. ("Company") for the use of the GEM365 Production Planning Visual Interactive Chart extension ("Product") for Microsoft Business Central, acquired via Microsoft AppSource. By installing, copying, or otherwise using the Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Product. The GEM365 Production Planning Visual Interactive Chart extension is designed to enhance the user permissions management capabilities within Microsoft Business Central. It provides comprehensive permission views, granular access insights, user comparison tools, and permission transparency. The extension aims to simplify permission visibility, comparison, and management, ensuring that your organization's data access is secure and efficiently managed. This EULA outlines the rights and responsibilities of both the End User and the Company regarding the use of the Product. It includes important information about the license granted, intellectual property rights, limitations on use, warranty, liability, termination, and other legal provisions. Please read this EULA carefully before using the Product. By accepting this EULA, you acknowledge that you have read, understood, and agree to be bound by its terms and conditions. If you are entering into this EULA on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms and conditions. If you do not have such authority, or if you do not agree with the terms and conditions of this EULA, you must not accept this EULA and may not use the Product. 2. Definitions (a) Product: The term "Product" refers to the GEM365 Production Planning Visual Interactive Chart extension, a software tool designed specifically for Microsoft Business Central. This extension enhances the user permissions management capabilities within the Business Central environment. It provides users with comprehensive permission views, allowing for both advanced and streamlined modes to suit specific needs. The Product offers granular access insights, enabling users to view permissions by data type or specific IDs, which helps in focusing on the most relevant access details for efficient management. Additionally, the Product includes user comparison tools to identify inconsistencies and maintain access alignment within teams. It ensures permission transparency by clarifying why users have specific permissions, whether from permission sets or direct assignments. The Product also enhances security by restricting permission comparisons by data type or ID to protect sensitive information. Furthermore, it includes export capabilities, allowing users to generate and share permission reports in various formats such as Excel, CSV, or PDF for streamlined analysis and documentation. Real-time search and filtering tools are integrated to quickly locate specific permissions, saving time and effort. Lastly, the Product provides object-specific insights, enabling users to drill down into permissions for individual data objects to uncover detailed access information. The GEM365 Production Planning Visual Interactive Chart extension is an essential tool for managing data access securely and effectively in Microsoft Business Central. 3. Grant of License The Company grants the End User a non-exclusive, non-transferable license to use the Product in accordance with the terms of this EULA. The Product is licensed, not sold. This license allows the End User to install and use the Product on a single instance of Microsoft Business Central, provided that such use is in compliance with all applicable laws and regulations. The End User may: Install and use the Product on any device that is compatible with Microsoft Business Central. Access and use the Product for the purposes of managing user permissions within their organization. Make a reasonable number of copies of the Related Material for backup and archival purposes, provided that all copies contain all of the original Product's proprietary notices. The End User may not: Use the Product for any purpose other than managing user permissions within Microsoft Business Central. Modify, adapt, translate, or create derivative works based on the Product. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Product, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. Rent, lease, loan, sublicense, distribute, or otherwise transfer the Product to any third party. Use the Product to provide services to third parties, such as in a service bureau or time-sharing arrangement. Remove, alter, or obscure any proprietary notices on the Product or Related Material. The license granted herein is effective until terminated. The Company may terminate this license if the End User fails to comply with any term(s) of this EULA. Upon termination, the End User must cease all use of the Product and destroy all copies of the Product and Related Material. The Company reserves all rights not expressly granted to the End User in this EULA. The End User acknowledges that the Product and Related Material are protected by copyright and other intellectual property laws and treaties, and that the Company owns all right, title, and interest in and to the Product and Related Material. 4. Intellectual Property Rights The Company retains all rights, title, and interest in and to the Product, including all intellectual property rights. This includes, but is not limited to, copyrights, trademarks, trade secrets, and patents associated with the Product and any related documentation or materials. The End User acknowledges that the Product and Related Material are protected by copyright and other intellectual property laws and treaties. The End User may not: Modify, adapt, translate, or create derivative works based on the Product or Related Material. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Product, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the Product or Related Material. Use any of the Company's trademarks, service marks, trade names, logos, domain names, or other distinctive brand features without the Company's prior written consent. The End User agrees to take all reasonable steps to protect the Product and Related Material from unauthorized copying or use. This includes implementing appropriate security measures to prevent unauthorized access to the Product and ensuring that all copies of the Product and Related Material are kept secure. The End User acknowledges that any unauthorized use, reproduction, or distribution of the Product or Related Material is a violation of this EULA and may result in civil and criminal penalties. The Company reserves the right to take legal action to protect its intellectual property rights and to seek damages for any unauthorized use of the Product or Related Material. The End User agrees to promptly notify the Company of any unauthorized use or infringement of the Company's intellectual property rights that comes to the End User's attention. The Company, at its sole discretion, may take any action it deems appropriate to protect its intellectual property rights, including initiating legal proceedings. The Company reserves all rights not expressly granted to the End User in this EULA. The End User acknowledges that the Product and Related Material are licensed, not sold, and that the End User does not acquire any ownership rights in the Product or Related Material by virtue of this EULA. 5. Limited Warranty The Company warrants that the Product will perform substantially in accordance with the Related Material for a period of 30 days from the date of receipt. This limited warranty covers only issues arising under normal use and does not cover problems caused by end-user negligence, misuse, or modifications to the Product. Scope of Warranty: The Company warrants that the Product will be free from defects in materials and workmanship under normal use during the warranty period. The Company does not warrant that the Product will meet the End User's requirements or that the operation of the Product will be uninterrupted or error-free. The warranty is void if the failure of the Product has resulted from accident, abuse, misapplication, abnormal use, or a virus. Warranty Claims: To make a warranty claim, the End User must notify the Company in writing within the warranty period, providing a detailed description of the issue. The Company will use commercially reasonable efforts to repair or replace the defective Product at no additional charge to the End User. If the Company is unable to repair or replace the Product, the End User may terminate this EULA and receive a refund of the license fee paid for the Product, prorated for the remaining term of the license. Exclusions and Disclaimers: The limited warranty does not cover any third-party software, hardware, or services that may be used in conjunction with the Product. The Company makes no warranties with respect to any third-party software, hardware, or services, and the End User's use of such third-party products is at their own risk. The Company disclaims all other warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Limitation of Remedies: The End User's sole and exclusive remedy for any breach of the limited warranty shall be the repair or replacement of the defective Product or, if the Company is unable to repair or replace the Product, a refund of the license fee paid for the Product, prorated for the remaining term of the license. The Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or performance of the Product, even if the Company has been advised of the possibility of such damages. Warranty Support: The Company will provide warranty support through its customer service channels, including email and phone support. The End User is responsible for providing all necessary information and cooperation to facilitate the diagnosis and resolution of any warranty claims. Governing Law: This limited warranty is governed by the laws of [Your Jurisdiction], without regard to its conflict of law principles. Any disputes arising out of or in connection with this limited warranty shall be resolved in accordance with the dispute resolution provisions set forth in this EULA. 6. Limitation of Liability To the maximum extent permitted by applicable law, in no event shall the Company, its affiliates, licensors, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) The use of or inability to use the Product; (b) Any conduct or content of any third party on the Product; (c) Any content obtained from the Product; and (d) Unauthorized access, use, or alteration of your transmissions or content. This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if the Company has been advised of the possibility of such damage. Aggregate Liability: The total liability of the Company, its affiliates, licensors, and suppliers for any claim arising out of or relating to this EULA or the Product, regardless of the form of the action, is limited to the amount paid by you for the Product during the twelve (12) months preceding the event or circumstances giving rise to such claim. Exclusions: Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. In such jurisdictions, the liability of the Company, its affiliates, licensors, and suppliers shall be limited to the greatest extent permitted by law. Basis of the Bargain: The End User acknowledges and agrees that the Company has offered the Product and entered into this EULA in reliance upon the disclaimers of warranty and the limitations of liability set forth herein, that the disclaimers and limitations reflect a reasonable and fair allocation of risk between the End User and the Company, and that the disclaimers and limitations form an essential basis of the bargain between the End User and the Company. The Company would not be able to provide the Product to the End User on an economically reasonable basis without these limitations. Indemnification: The End User agrees to indemnify, defend, and hold harmless the Company, its affiliates, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with the End User's access to or use of the Product, the End User's violation of this EULA, or the End User's infringement of any intellectual property or other right of any person or entity. Severability: If any provision of this Limitation of Liability section is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this EULA will otherwise remain in full force and effect and enforceable. 7. Termination This EULA is effective until terminated. The Company may terminate this EULA immediately upon written notice to the End User if the End User breaches any term(s) of this EULA. Upon termination, the End User must cease all use of the Product and destroy all copies of the Product and Related Material in their possession or control. The Company reserves the right to terminate this EULA and the End User's access to the Product at any time, with or without cause. Grounds for termination by the Company include, but are not limited to, the End User's failure to comply with any terms of this EULA, unauthorized use of the Product, or any action that, in the Company's sole discretion, may cause legal liability for the Company or harm the Company's reputation or business operations. The End User may terminate this EULA at any time by ceasing all use of the Product and destroying all copies of the Product and Related Material. Upon termination of this EULA for any reason, the End User's rights to use the Product will immediately cease. The End User must promptly delete or destroy all copies of the Product and Related Material, including any backup copies. The provisions of this EULA that by their nature should survive termination shall survive termination, including but not limited to provisions regarding intellectual property rights, limitations of liability, indemnification, confidentiality, and governing law. Any disputes arising out of or in connection with the termination of this EULA shall be resolved in accordance with the dispute resolution provisions set forth in this EULA. 8. Governing Law This EULA shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law principles. The End User agrees that any legal action or proceeding arising under this EULA shall be brought exclusively in the courts located in Canada, and the End User consents to the personal jurisdiction and venue of such courts. The End User agrees to comply with all applicable local, provincial, national, and international laws and regulations in connection with the use of the Product. The End User acknowledges that the Company may be subject to regulations of Canadian authorities that prohibit export or diversion of certain products and technology to certain countries and individuals. The End User agrees not to export or re-export the Product, directly or indirectly, to any countries that are subject to Canadian export restrictions. The End User represents and warrants that they are not located in, under the control of, or a national or resident of any such prohibited country. In the event of any dispute, controversy, or claim arising out of or relating to this EULA, the parties shall first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiations, the parties agree to submit the dispute to mediation before a mutually agreed-upon mediator. If mediation fails to resolve the dispute, the parties agree to submit the dispute to binding arbitration in accordance with the rules of the Canadian Arbitration Association (CAA) or another mutually agreed-upon arbitration organization. The arbitration shall be conducted in Canada, and the arbitrator's decision shall be final and binding on the parties. If any provision of this EULA is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be deemed modified to the extent necessary to make it valid and enforceable, and the rights and obligations of the parties shall be construed and enforced accordingly. The failure of either party to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision. Any waiver of any right or provision of this EULA shall be effective only if in writing and signed by the parties. This EULA constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to such subject matter. 9. Miscellaneous This EULA constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to such subject matter. Any additional or different terms or conditions in any written or oral communication from the End User to the Company are void. The End User agrees that they have not relied on any representations or warranties other than those expressly set forth in this EULA. The failure of either party to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision. Any waiver of any right or provision of this EULA shall be effective only if in writing and signed by the parties. No waiver of any term of this EULA shall be deemed a further or continuing waiver of such term or any other term. If any provision of this EULA is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be deemed modified to the extent necessary to make it valid and enforceable, and the rights and obligations of the parties shall be construed and enforced accordingly. If such modification is not possible, the invalid or unenforceable provision shall be deemed severed from this EULA, and the remaining provisions shall remain in full force and effect. The End User may not assign or transfer this EULA or any rights or obligations hereunder, whether by operation of law or otherwise, without the prior written consent of the Company. Any attempted assignment or transfer in violation of the foregoing will be null and void. The Company may assign or transfer this EULA, in whole or in part, without restriction. Any notice required or permitted to be given under this EULA shall be in writing and shall be delivered by hand, sent by registered mail, or sent by email to the addresses provided by the parties. Notices to the Company shall be sent to [Company's Address] or [Company's Email Address]. Notices to the End User shall be sent to the address or email address provided during the registration process. Neither party shall be liable for any failure or delay in performance under this EULA (other than for delay in the payment of money due and payable hereunder) to the extent such failure or delay is caused by conditions beyond the party's reasonable control, including but not limited to acts of God, government restrictions (including the denial or cancellation of any export or other necessary license), wars, insurrections, labor strikes, and/or any other cause beyond the reasonable control of the party whose performance is affected. The parties are independent contractors. This EULA does not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the parties. The headings in this EULA are for convenience only and shall not affect the interpretation of this EULA. This EULA is drafted in the English language. If this EULA is translated into any other language, the English language version shall prevail. This EULA is intended for the sole and exclusive benefit of the parties hereto and is not intended to benefit any third party. Only the parties to this EULA may enforce it. This EULA shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law principles. Any disputes arising out of or in connection with this EULA shall be resolved in accordance with the dispute resolution provisions set forth in this EULA. The End User agrees that the Company may use the End User's name and logo in its marketing materials and on its website to identify the End User as a customer of the Company, provided that the Company complies with any trademark usage guidelines provided by the End User.: The End User may provide feedback to the Company regarding the Product. The End User agrees that all feedback is provided voluntarily and the Company may use such feedback without any obligation to the End User. 10. Confidentiality Each party agrees to treat all Confidential Information as confidential and not to use or disclose such Confidential Information except as necessary to perform its obligations under this Agreement. "Confidential Information" includes, but is not limited to, the Product, Related Material, business plans, customer data, technical data, and any other information that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. The receiving party agrees to protect the confidentiality of the disclosing party's Confidential Information using the same degree of care that it uses to protect its own confidential information, but in no event less than reasonable care. The receiving party agrees not to use the disclosing party's Confidential Information for any purpose other than as necessary to perform its obligations under this EULA. The receiving party agrees not to disclose the disclosing party's Confidential Information to any third party without the prior written consent of the disclosing party, except as necessary to perform its obligations under this EULA or as required by law. Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this EULA by the receiving party; (b) is rightfully received from a third party without restriction on use or disclosure; (c) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information; or (d) is disclosed with the prior written consent of the disclosing party. If the receiving party is required by law to disclose any of the disclosing party's Confidential Information, the receiving party shall provide the disclosing party with prompt written notice of such requirement so that the disclosing party may seek a protective order or other appropriate remedy. If such protective order or other remedy is not obtained, the receiving party shall disclose only that portion of the Confidential Information that it is legally required to disclose. Upon termination of this EULA or upon the disclosing party's written request, the receiving party shall promptly return or destroy all copies of the disclosing party's Confidential Information in its possession or control and certify in writing to the disclosing party that it has done so. 11. Legal Compliance The Company maintains that its primary duty is to protect the Content to the extent the law allows. The Company reserves the right to provide the Confidential Information to third parties as required and permitted by law. Compliance with Laws: The End User agrees to comply with all applicable local, provincial, national, and international laws and regulations in connection with the use of the Product. The End User acknowledges that the Company may be subject to regulations of Canadian authorities that prohibit export or diversion of certain products and technology to certain countries and individuals. Export Control: The End User agrees not to export or re-export the Product, directly or indirectly, to any countries that are subject to Canadian export restrictions. The End User represents and warrants that they are not located in, under the control of, or a national or resident of any such prohibited country. 12. Evaluation Period In the event that you have licensed the Service for evaluation purposes only, the terms of this paragraph shall apply in addition to all the other terms of this Agreement. Your license to use the Service commences on the creation of a user account and terminates automatically thirty (30) days after the date of creation. Evaluation License: The Company grants the End User a non-exclusive, non-transferable license to use the Product for evaluation purposes only during the Evaluation Period. The End User may use the Product solely for the purpose of evaluating its suitability for the End User's needs. Restrictions: The End User shall not use the Product for any commercial purposes during the Evaluation Period. The End User shall not distribute, sublicense, or otherwise transfer the Product to any third party during the Evaluation Period. Termination: The Evaluation Period will terminate automatically at the end of the specified period unless the End User purchases a license to continue using the Product. Upon termination of the Evaluation Period, the End User shall cease all use of the Product and destroy all copies of the Product and Related Material. 12. Payment, Refunds, and Subscription Changes Subscribers with paid subscriptions will provide the Company with a valid credit card, and complete and accurate billing and contact information for payment of the applicable subscription fees. Payment Terms: The End User agrees to pay all fees and charges associated with the use of the Product in accordance with the payment terms specified by the Company. All fees are non-refundable, except as expressly provided in this EULA. Billing Information: The End User shall provide accurate and complete billing information and shall promptly update such information as necessary. The End User authorizes the Company to charge the End User's credit card or other payment method for all fees and charges due. Subscription Changes: The End User may upgrade or downgrade their subscription plan at any time in accordance with the Company's policies. Changes to the subscription plan may result in changes to the fees and charges due. Late Payments: If the End User fails to pay any fees or charges when due, the Company may suspend or terminate the End User's access to the Product. The End User shall be responsible for all costs and expenses incurred by the Company in collecting any overdue amounts. 13. Cancellation and Termination Administrators are solely responsible for canceling subscriptions. An Administrator may cancel their subscription at any time by accessing the Service and visiting the cancellation site as applicable. Cancellation by End User: The End User may cancel their subscription at any time by following the cancellation procedures specified by the Company. Upon cancellation, the End User's access to the Product will terminate at the end of the current billing period. Termination by Company: The Company may terminate the End User's subscription and access to the Product at any time, with or without cause, upon providing written notice to the End User. Grounds for termination by the Company include, but are not limited to, the End User's failure to comply with any terms of this EULA, unauthorized use of the Product, or any action that, in the Company's sole discretion, may cause legal liability for the Company or harm the Company's reputation or business operations. Effect of Termination: Upon termination of this EULA for any reason, the End User's rights to use the Product will immediately cease. The End User must promptly delete or destroy all copies of the Product and Related Material, including any backup copies. The End User must certify in writing to the Company that all copies of the Product and Related Material have been deleted or destroyed. Refunds: If the EULA is terminated by the Company without cause, the End User may be entitled to a prorated refund of any prepaid license fees for the remaining term of the license. If the EULA is terminated by the Company for cause or by the End User, the End User will not be entitled to any refund of license fees. 14. Limitation of Liability To the maximum extent permitted by applicable law, in no event shall the Company, its affiliates, licensors, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) The use of or inability to use the Product; (b) Any conduct or content of any third party on the Product; (c) Any content obtained from the Product; and (d) Unauthorized access, use, or alteration of your transmissions or content.
